1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Chris Groves ("we," "us," or "our") governing your access to and use of notchrisgroves.com (the "Site") and all related services, including membership subscriptions.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree to these Terms, you must not use the Site.

2. Eligibility

You must be at least 18 years old to use this Site and subscribe to membership services. By using the Site, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • All information you provide is accurate and current
  • Your use of the Site complies with all applicable laws and regulations

Geographic Restrictions: Our services are available worldwide, but content may vary based on your location. You are responsible for compliance with local laws.

3. Membership Tiers and Access

We offer the following membership tiers with automatic recurring billing where applicable:

3.1 Public (No Account Required)

  • Free access to select public content
  • Approximately 10-15% of total content
  • No signup or payment required

3.2 Lurker (Free - Account Required)

  • Free membership with email registration
  • Access to approximately 70-75% of blog content
  • Email newsletter subscription
  • Ability to comment on posts
  • No payment required

3.3 Contributor (Paid - Recurring Subscription)

  • Pricing: $5.00/month or $50.00/year (save $10.00 annually)
  • Auto-Renewal: This is a recurring subscription that will automatically renew monthly (or annually) at the price above until you cancel
  • All Lurker tier benefits
  • Access to exclusive implementation guides and advanced tutorials
  • Full access to 100% of written content
  • Priority email support (24-48 hour response time)
  • Early access to new content (7 days before public release)

3.4 Fellowship (Paid - Recurring Subscription)

  • Pricing: $20.00/month or $200.00/year (save $40.00 annually)
  • Auto-Renewal: This is a recurring subscription that will automatically renew monthly (or annually) at the price above until you cancel
  • All Contributor tier benefits
  • Access to private Discord community channels
  • Direct implementation support via Discord
  • Monthly Q&A office hours (1 hour live session)
  • Collaboration with other members
  • Influence future content direction through member polls

Cancellation: You may cancel your subscription at any time through your account settings or by emailing billing@notchrisgroves.com. Cancellation is easy and can be completed with one click in your account portal.

4. Account Registration and Security

4.1 Account Creation

To access member content, you must create an account with accurate information. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your information to keep it accurate
  • Maintain the security and confidentiality of your password
  • Notify us immediately of any unauthorized use of your account at support@notchrisgroves.com
  • Accept responsibility for all activities that occur under your account

4.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. You may not:

  • Share your account credentials with others
  • Allow others to access your account
  • Create multiple accounts to circumvent content restrictions or pricing
  • Use another person's account without express permission
  • Sell, transfer, or assign your account to another person

5. Billing and Payment Terms

5.1 Payment Processing

All payments are processed securely through Stripe, Inc., a PCI-DSS Level 1 compliant payment processor. By subscribing to a paid membership, you authorize us to charge your designated payment method on a recurring basis (monthly or annually, depending on your selection).

We do not store your credit card information. Payment data is handled exclusively by Stripe in accordance with PCI-DSS requirements. For Stripe's privacy and security practices, see: https://stripe.com/privacy

Payment Information: You may update your payment method at any time through your account settings. You are responsible for maintaining current payment information.

5.2 Subscription Billing

AUTOMATIC RENEWAL DISCLOSURE (Required by California Bus. & Prof. Code § 17602):

  • Monthly Subscriptions: Your subscription will automatically renew each month on the same calendar day you initially subscribed, and you will be charged $5.00 (Contributor) or $20.00 (Fellowship) until you cancel
  • Annual Subscriptions: Your subscription will automatically renew each year on the anniversary of your subscription date, and you will be charged $50.00 (Contributor) or $200.00 (Fellowship) until you cancel
  • Automatic Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the renewal date
  • Renewal Confirmation: You will receive an email confirmation after each successful renewal charge

No Hidden Fees: The prices listed above are complete. There are no additional fees, charges, or surcharges (excluding applicable taxes - see Section 5.5).

5.3 Price Changes

We reserve the right to change membership pricing. For existing subscribers:

  • We will provide at least 30 days' advance notice via email before any price change takes effect
  • Current subscribers will be grandfathered at their existing rate for at least 90 days from the date of notice
  • You will have the opportunity to cancel before the new price takes effect
  • Continued subscription after the notice period and price change date constitutes acceptance of the new price
  • Price changes do not apply retroactively

5.4 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method up to 3 times over a 15-day period
  • You will receive email notifications after each failed payment attempt with instructions to update your payment method
  • After 3 failed attempts, your membership will be downgraded to the free Lurker tier
  • You will lose access to paid content immediately upon downgrade
  • You may update payment information and resubscribe at any time to restore access
  • We are not responsible for overdraft fees, insufficient funds fees, or other bank charges resulting from payment attempts

5.5 Taxes

Prices listed do not include applicable sales tax, VAT, GST, or other taxes required by your jurisdiction. You are responsible for all taxes based on your billing address and location. Taxes will be calculated and added at checkout where applicable.

5.6 Tips and Donations (One-Time Payments)

In addition to recurring subscriptions, we offer one-time tips or donations as voluntary support for content provided.

Tips are given in exchange for goods or services (blog content, tutorials, technical guides) and are displayed next to or following content in accordance with Stripe's tipping policy.

Key Terms for Tips:

  • Tips are one-time, voluntary payments (not recurring subscriptions)
  • No automatic renewal or recurring charges
  • Tips are non-refundable except for billing errors or duplicate charges
  • All tips are processed securely through Stripe, Inc.
  • Payment agreements are made directly between you and Stripe

Acceptable Use: Tips may not be used for adult content, copyrighted material redistribution, violent extremism, gambling, illegal products/services, or other activities prohibited by Stripe's acceptable use policy.

5.7 Payment Disputes and Errors

If you believe there has been a billing error or unauthorized charge:

  • Contact us immediately at billing@notchrisgroves.com with details of the disputed charge
  • You have 60 days from the charge date to report billing errors (Electronic Fund Transfer Act / Regulation E compliance)
  • We will investigate and respond within 10 business days
  • Full refunds will be issued for duplicate or erroneous charges
  • You may also contact Stripe support directly for payment-related issues

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through:

  • Your account settings on the Site (one-click cancellation available)
  • Emailing billing@notchrisgroves.com with your account email and "Cancel Subscription" in the subject line

Upon cancellation:

  • You will retain access to paid content until the end of your current billing period
  • No further charges will be made after the current billing period ends
  • Your account will be automatically downgraded to the free Lurker tier
  • You may re-subscribe at any time

Cancellation Confirmation: You will receive an email confirmation within 24 hours of successful cancellation.

6.2 Refund Policy

Monthly Subscriptions:

  • No refunds for partial months of service
  • Cancellation takes effect at the end of the current monthly billing period
  • You retain access until the period ends

Annual Subscriptions:

  • 30-Day Satisfaction Guarantee: Prorated refunds available within the first 30 days if you are not satisfied with the service
  • Refund calculation: (Annual fee ÷ 12) × remaining full months
  • Example: Cancel after 2 months of a $50 annual plan = ($50 ÷ 12) × 10 = $41.67 refund
  • After 30 days, no refunds for early cancellation (you retain access until the annual period ends)

Billing Errors:

  • Full refund for duplicate charges or erroneous billing
  • Report billing errors within 60 days of the charge date
  • Refunds processed within 5-10 business days to your original payment method

To request a refund: Email billing@notchrisgroves.com within the applicable timeframe (30 days for annual satisfaction guarantee, 60 days for billing errors) with:

  • Your account email address
  • Transaction date and amount
  • Reason for refund request

Refunds are processed within 5-10 business days of approval and will appear on your original payment method.

7. Content License and Restrictions

7.1 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and view content appropriate to your membership tier for personal, non-commercial use
  • Use code examples and tutorials in your personal or commercial projects (including modification and integration into your own software)
  • Download content for personal, offline reference
  • Create personal notes and summaries for private study

Code Use Clarification: "Code use permitted" means you may use, modify, and incorporate code examples into your own projects (personal or commercial) without restriction. You may NOT redistribute our tutorials or documentation as your own educational content or resell them.

7.2 Restrictions

You may NOT:

  • Redistribute: Share, republish, or publicly distribute members-only content (including tutorials, implementation guides, or exclusive articles)
  • Commercial Redistribution: Resell, relicense, or monetize our content without written permission from legal@notchrisgroves.com
  • Circumvent Access: Use technical means (e.g., credential sharing, VPNs to bypass paywalls) to access content beyond your membership tier
  • Scrape or Automate: Use bots, scrapers, crawlers, or automated tools to collect, copy, or monitor content
  • Remove Attribution: Remove copyright notices, author attribution, or "Intelligence Adjacent" branding from content
  • Create Derivative Works for Redistribution: Modify our content and distribute it as your own educational material, course, or publication without permission

7.3 Permitted Uses (Summary)

You MAY:

  • Implement Code: Use code examples in your own projects (personal or commercial), including modification and forking for your own use
  • Reference and Link: Link to our public content with proper attribution (e.g., "Tutorial by Chris Groves - notchrisgroves.com")
  • Educational Use: Use brief excerpts (up to 300 words) for non-commercial educational purposes with attribution and a link to the original
  • Personal Notes: Create personal study notes, summaries, and annotations for private use

8. Intellectual Property

8.1 Our Content

All content on the Site, including text, graphics, logos, code, tutorials, documentation, videos, and other materials, is owned by Chris Groves or licensed to us and is protected by United States copyright law (17 U.S.C. § 101 et seq.) and international copyright treaties.

By posting comments or other content on the Site (e.g., comments, forum posts), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display that content for the purpose of operating and promoting the Site.

You retain ownership of your content and may delete it at any time. Upon deletion, our license terminates, except for content already incorporated into the Site's operation (e.g., cached copies, archived versions).

Content Restrictions: You represent that your content does not violate third-party rights or applicable laws.

9. Discord Community

9.1 Access

All active members receive an invitation to our private Discord server ("Intelligence Adjacent Fellowship"), with channel access varying by membership tier:

  • Lurker Tier: Access to general community channels
  • Contributor Tier: Access to contributor-focused channels and discussions
  • Fellow Tier: Full access to all private Fellowship channels

Discord access is subject to:

9.2 Community Guidelines

Fellowship members must:

  • Be Respectful: Treat all members with respect and professionalism. No personal attacks, insults, or derogatory language.
  • Stay On-Topic: Use channels for their intended purposes (e.g., #implementation for technical help, #general for discussions)
  • No Spam: Avoid promotional content, spam, unsolicited advertising, or solicitation without permission
  • Confidentiality: Do not share private discussions, member information, or exclusive content outside the Discord without consent
  • No Harassment: Zero tolerance for harassment, discrimination (based on race, gender, religion, sexual orientation, disability, etc.), doxxing, or abusive behavior
  • No Illegal Content: Do not share illegal content, pirated software, or instructions for illegal activities
  • Respect Privacy: Do not share others' personal information without explicit permission

9.3 Moderation and Removal

Violations of community guidelines may result in:

  • First Offense: Warning from moderators with explanation of violation
  • Second Offense: Temporary suspension from Discord (7-30 days)
  • Third Offense or Severe Violations: Permanent removal from Discord without refund
  • Serious Violations: Immediate termination of Fellowship membership for harassment, illegal activity, or doxxing

Appeal Process: If you believe you were removed in error, you may appeal by emailing support@notchrisgroves.com within 14 days with an explanation. Appeals are reviewed within 7 business days.

10. Prohibited Conduct

You agree NOT to:

  • Violate Laws: Use the Site for any illegal purpose or to violate any local, state, national, or international law
  • Impersonate: Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Harass: Harass, threaten, stalk, or harm others
  • Spam: Send unsolicited commercial messages, bulk emails, or engage in spamming
  • Malware: Upload viruses, malware, ransomware, trojan horses, or other malicious code
  • Interfere: Interfere with or disrupt the Site's operation, servers, or networks
  • Unauthorized Access: Attempt to gain unauthorized access to systems, accounts, or data (e.g., hacking, password cracking, exploiting vulnerabilities without authorization)
  • Misuse Security Content: Use security testing techniques, penetration testing methodologies, or ethical hacking content for unauthorized, illegal, or malicious purposes
  • Circumvent Security: Bypass, disable, or interfere with security features or access controls
  • Data Mining: Use automated systems to extract data for commercial purposes without written permission

11. Content Disclaimer

11.1 Educational Purpose

IMPORTANT SECURITY DISCLAIMER: Content about security testing, penetration testing, vulnerability analysis, and ethical hacking is provided for educational purposes and authorized testing only. You are solely responsible for ensuring you have proper written authorization before using any security testing techniques described on the Site.

Unauthorized computer access is illegal under federal law (Computer Fraud and Abuse Act, 18 U.S.C. § 1030) and Texas state law (Texas Penal Code § 33.02). Penalties include fines and imprisonment.

Always obtain authorization before testing: Bug bounty programs, penetration testing engagements, or security research must have documented permission from system owners.

  • Self-hosted and deployed within YOUR OWN infrastructure (your computer, your VPS, your servers)
  • Operated, maintained, and controlled entirely by YOU
  • Customizable and modifiable for your specific use cases

We do NOT:

  • Host the Framework on our infrastructure
  • Process, store, or handle any data generated by your Framework installation
  • Provide technical support for Framework deployments (beyond educational content)
  • Maintain, update, or manage your Framework installation
  • Access your Framework instance or any data within it

You ARE responsible for:

  • Installing and configuring the Framework in your own environment
  • Ensuring your deployment complies with applicable laws and regulations
  • Securing your Framework instance and any data it processes
  • All costs associated with infrastructure (VPS hosting, API credits, third-party services)

11A.2 No Warranties (Express or Implied)

THE INTELLIGENCE ADJACENT FRAMEWORK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING:

  • Merchantability: The Framework may not be suitable for your particular use case or meet your expectations
  • Fitness for a Particular Purpose: The Framework is a general-purpose system and may not be appropriate for all applications
  • Non-Infringement: While we make efforts to ensure compliance, third-party intellectual property risks may exist

  • Direct Damages: Data loss, system failures, security breaches, operational disruptions
  • Indirect Damages: Lost profits, business interruption, reputational harm, third-party claims
  • Consequential Damages: Downstream effects of Framework malfunction or AI-generated errors
  • Punitive Damages: Even if the Framework's flaws or risks were foreseeable

Examples of risks YOU assume:

  • AI models generating harmful, biased, or illegal outputs
  • Security vulnerabilities in the Framework exposing your infrastructure to attack
  • Third-party API failures causing operational disruptions
  • Accidental deletion or corruption of critical data
  • Unauthorized access to systems orchestrated by the Framework
  • Legal liability for actions performed using the Framework
  • Financial losses due to erroneous AI-driven decisions

11A.4 Third-Party Dependencies

The Framework integrates with numerous third-party services (Anthropic Claude, OpenAI, Ghost CMS, Stripe, Discord, n8n, etc.). We:

  • Do NOT control or warrant the availability, reliability, or security of third-party services
  • Are NOT responsible for third-party API changes, deprecations, or service interruptions
  • Are NOT liable for third-party data breaches, privacy violations, or terms of service violations
  • Do NOT guarantee compatibility with future versions of third-party dependencies

YOU are responsible for:

  • Reviewing and accepting third-party terms of service
  • Obtaining necessary API keys, credentials, and licenses
  • Monitoring third-party service usage and costs
  • Ensuring compliance with third-party acceptable use policies

11A.5 Security Testing Tools

The Framework includes orchestration capabilities for security testing tools (nmap, nuclei, sqlmap, Metasploit, etc.) deployed on user-managed infrastructure.

CRITICAL LEGAL NOTICE:

  • Security tools MUST only be used on systems you own or have explicit written authorization to test
  • Unauthorized use of security tools is illegal under the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and equivalent state laws
  • Penalties include federal imprisonment, fines, and civil liability
  • We are NOT responsible for your misuse of security testing capabilities
  • You assume ALL legal risk for security testing activities performed using the Framework

11A.6 User Assumes ALL Risk

BY INSTALLING AND USING THE INTELLIGENCE ADJACENT FRAMEWORK, YOU ACKNOWLEDGE AND AGREE THAT:

  • You have read and understood the Framework's documentation, including all disclaimers and warnings
  • You accept full responsibility for all consequences of deploying and operating the Framework
  • You will NOT hold Chris Groves, contributors, or anyone associated with the Framework liable for ANY damages, losses, or harms arising from your use
  • You understand the Framework is experimental software under active development
  • You agree to indemnify and hold harmless Chris Groves and contributors against any claims arising from your use of the Framework

11A.7 No Support Obligation

We are under NO obligation to provide:

  • Technical support for Framework deployments
  • Bug fixes, security patches, or updates
  • Troubleshooting assistance for your specific configuration
  • Migration support for breaking changes
  • Consultation on compliance, security, or legal matters

Educational content on this Site is provided as-is for general guidance only and does not constitute professional support.

11A.8 Open Source License

The Intelligence Adjacent Framework is released under the MIT License (or similar permissive open-source license). The license governs your rights to use, modify, and redistribute the Framework software itself.

  • The software is provided WITHOUT WARRANTY OF ANY KIND

  • The Framework software itself is governed by its open-source license and the disclaimers in this Section 11A
  • You may use the Framework freely under its license, but content on this Site has separate usage restrictions

IF YOU DO NOT ACCEPT THESE TERMS REGARDING THE INTELLIGENCE ADJACENT FRAMEWORK, DO NOT INSTALL OR USE THE FRAMEWORK SOFTWARE.

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

    • Use or misuse of the Intelligence Adjacent Framework software

LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF:

  • (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • (B) $100.00 (ONE HUNDRED US DOLLARS)

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Jurisdictional Limitations: Some jurisdictions do not allow limitation of liability for consequential or incidental damages, so some limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Chris Groves, and our affiliates, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, judgments, and expenses (including reasonable attorneys' fees and legal costs) arising from or relating to:

  • Your violation of these Terms or our Privacy Policy
  • Your violation of any law or regulation
  • Your violation of any third-party rights (including intellectual property rights, privacy rights, or publicity rights)
  • Your use or misuse of the Site, content, or services
  • Your unauthorized use of security testing techniques or tools described on the Site
  • Your installation, deployment, or use of the Intelligence Adjacent Framework software
  • Any damages, data loss, security breaches, or harms caused by your Framework installation
  • Any actions performed by AI agents or automation orchestrated by your Framework instance
  • Content you post or submit to the Site (comments, user-generated content)
  • Your breach of any representation or warranty in these Terms
  • Any injury or damage to persons or property caused by your actions

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims. This indemnification obligation survives termination of your account and these Terms.

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Deleting your account through account settings
  • Emailing support@notchrisgroves.com with "Delete Account" in the subject line

Upon voluntary account deletion, your data will be deleted per our Privacy Policy (Section 6).

15.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms or our Privacy Policy
  • Engage in fraudulent, illegal, or harmful activity
  • Share account credentials or abuse access controls
  • Attempt to compromise Site security or gain unauthorized access
  • Engage in harassment, discrimination, or abusive behavior
  • Use the Site for illegal purposes or unauthorized security testing
  • Fail to pay subscription fees (after 3 failed payment attempts)
  • Engage in conduct that damages our reputation or business interests

15.3 Effect of Termination

Upon termination (by you or us):

  • Your access to member content immediately ceases
  • Your Discord access (if Fellowship member) is revoked
  • No refunds for remaining subscription period, except as stated in Section 6.2 (Refund Policy)
  • You may lose access to content you downloaded during your membership
  • The following sections survive termination: Section 7.2 (Restrictions), Section 8 (Intellectual Property), Section 11A (Intelligence Adjacent Framework), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 17 (Governing Law), and Section 18 (General Provisions)

16. Modifications to Terms

We may modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Changes will be posted on this page with an updated "Last Updated" date at the top.

For material changes (e.g., pricing, dispute resolution, liability limitations), we will:

  • Notify you via email to your registered email address at least 30 days before the effective date
  • Post a prominent notice on the Site homepage
  • Highlight specific changes in the notification email

Your Options:

  • Continued use of the Site after the effective date constitutes acceptance of the updated Terms
  • If you do not agree to changes, you must cancel your subscription before the effective date (no access after cancellation)
  • For paid members, cancellation before the effective date of material changes that negatively affect you may qualify for a prorated refund (contact billing@notchrisgroves.com)

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas and the United States, without regard to conflict of law principles.

International Users: For users outside the United States, Texas law applies to the maximum extent permitted by your local law. GDPR extraterritorial provisions (Art. 3) apply where we offer services to EU data subjects.

17.2 Venue and Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you irrevocably consent to personal jurisdiction and venue in such courts.

You waive any objection to venue in Travis County, Texas, and any claim that such courts are an inconvenient forum.

17.3 Informal Dispute Resolution

Before filing any formal claim, you agree to contact us at legal@notchrisgroves.com to attempt informal resolution. We will attempt to resolve disputes in good faith within 30 days.

17.4 Arbitration (Optional for Larger Disputes)

For disputes exceeding $25,000.00, either party may elect binding arbitration under the Consumer Arbitration Rules of the American Arbitration Association (AAA). Arbitration shall take place in Travis County, Texas, or via video conference.

Arbitration Terms:

  • One arbitrator selected per AAA rules
  • Arbitration fees split equally unless you qualify for fee waiver under AAA rules
  • Discovery and evidence exchange per AAA Consumer Arbitration Rules
  • Arbitrator's decision is final and binding, with limited appeal rights under Federal Arbitration Act (9 U.S.C. § 10)
  • Arbitration does not preclude small claims court for disputes under $25,000

Small Claims Court: For disputes under $25,000.00, you may pursue claims in small claims court in Travis County, Texas, or your local jurisdiction (subject to small claims court rules).

Opt-Out Right: You may opt out of arbitration by emailing legal@notchrisgroves.com within 30 days of accepting these Terms with "Arbitration Opt-Out" in the subject line and your name and account email in the body. Opt-out does not affect other Terms.

17.5 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO:

  • Participate in class actions or class-wide arbitration
  • Act as a class representative or class member in any proceeding
  • Consolidate your claims with other parties' claims

If the class action waiver is found unenforceable, the arbitration agreement in Section 17.4 is void, and disputes will proceed in court per Section 17.2.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding use of the Site and supersede all prior or contemporaneous agreements, communications, or understandings (written or oral).

18.2 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed from these Terms.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Waivers must be in writing and signed by us to be effective. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

18.4 Assignment

You may not assign, transfer, or delegate these Terms or your account to another person or entity without our prior written consent. We may assign these Terms or delegate our obligations without restriction (e.g., in connection with a merger, acquisition, or sale of assets). Any attempted assignment by you in violation of this section is void.

18.5 Force Majeure

We are not liable for failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Acts of God (natural disasters, earthquakes, floods)
  • War, terrorism, or civil unrest
  • Government actions or regulatory changes
  • Labor disputes or strikes
  • Internet or telecommunications failures
  • Cyber attacks or technical failures of third-party services (e.g., Ghost, Stripe outages)

During force majeure events, our obligations are suspended for the duration of the event.

18.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and us. No third parties (including Discord, Stripe, or Ghost) have any rights or claims under these Terms.

18.7 Notices

All notices to you will be sent to your registered email address. You are responsible for keeping your email current. Notices are deemed received 24 hours after email is sent.

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in, under the control of, or a national of any country to which the United States has embargoed goods.
